1 Acceptance of Terms
By accessing, downloading, installing, or using the InspectPro web application or mobile application (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy.
If you are accessing the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In that case, "you" refers to that organisation.
If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute a legally binding agreement between you and Whiz Cloud Pvt Ltd, a company incorporated in India ("Whiz Cloud", "we", "us", "our").
2 About InspectPro
InspectPro is a multi-tenant, cloud-based inspection management platform that enables organisations to:
- Design and manage dynamic inspection form templates for any inspection domain (including but not limited to lift inspections, property inspections, vehicle inspections, and other compliance audits)
- Create and assign inspection orders to field consultants
- Execute inspections on mobile devices in both online and offline modes
- Capture evidence including photographs, signatures, GPS coordinates, and audio
- Synchronise offline inspection data with the server
- Review, approve, and generate PDF inspection reports
- Utilise optional AI-assisted image analysis features
The platform consists of: (i) an Admin Web Portal for organisation administrators; and (ii) a Mobile Application for field consultants, available on iOS and Android.
3 Account Registration & Eligibility
3.1 Eligibility
To use InspectPro, you must:
- Be at least 18 years of age
- Be accessing the Service on behalf of a registered business entity or organisation
- Have the legal capacity to enter into a binding contract under the laws of your jurisdiction
- Not be prohibited from using the Service under any applicable law
3.2 Organisation Accounts
InspectPro operates on a B2B model. Access is granted to Organisations (business entities) that have a valid contracted account provisioned by Whiz Cloud. Individual user accounts — including Administrator, Sub-Administrator, and Consultant accounts — are created and managed within an Organisation's account by that Organisation's designated administrator.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must:
- Notify us immediately at info@whiz-cloud.com if you suspect any unauthorised use of your account
- Not share your login credentials with any other person
- Use a strong, unique password and enable any available security features
Whiz Cloud is not liable for any loss or damage arising from your failure to secure your account credentials.
3.4 Accurate Information
You agree to provide accurate, current, and complete information when registering or updating your account, and to keep such information up to date.
4 Subscription, Access & Licence
4.1 Licence Grant
Subject to your compliance with these Terms, Whiz Cloud grants your Organisation a limited, non-exclusive, non-transferable, revocable licence to access and use InspectPro solely for your Organisation's internal business operations during the term of your subscription or agreement.
4.2 Scope of Use
This licence permits you to:
- Access the web application through a supported web browser
- Install and use the mobile application on authorised mobile devices owned or controlled by your Organisation or its contracted staff
- Create and manage inspection templates, orders, and records within your Organisation's tenant account
4.3 Restrictions
You may not:
- Sublicense, resell, transfer, or provide access to the Service to any third party without our written consent
- Copy, modify, reverse engineer, decompile, or disassemble any part of the Service or its underlying software
- Use the Service to build a competing product or service
- Remove or obscure any proprietary notices, branding, or markings within the Service
- Access the Service through automated means (bots, scrapers) not authorised by Whiz Cloud
- Use the Service in any way that violates applicable laws or regulations
4.4 No Payment Processing
InspectPro does not currently process subscription payments directly within the platform. Any billing arrangements are governed separately by your Organisation's agreement with Whiz Cloud.
5 Acceptable Use
You agree to use InspectPro only for lawful purposes and in a manner consistent with these Terms. You must not use the Service to:
- Upload, transmit, or store content that is unlawful, defamatory, fraudulent, obscene, or harmful
- Infringe the intellectual property rights of any third party
- Introduce viruses, malware, or any other malicious code
- Attempt to gain unauthorised access to any other Organisation's data, account, or system
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Collect or harvest any personally identifiable information from the Service without authorisation
- Use the AI features to generate or store content that is misleading, discriminatory, or harmful
- Violate any applicable local, national, or international laws or regulations
Whiz Cloud reserves the right to suspend or terminate access to any account found to be in violation of this section, without prior notice where warranted.
6 Organisation Responsibilities
As the contracted Organisation, you are responsible for:
- User management: Creating, managing, and deactivating user accounts for your employees and contractors
- Permissions: Ensuring appropriate roles and permissions are assigned to each user based on their function
- Template accuracy: Ensuring that inspection templates are accurate, complete, and compliant with any applicable regulatory or industry standards relevant to your inspection domain
- Inspection data accuracy: The accuracy and completeness of inspection data submitted by your field consultants
- Regulatory compliance: Ensuring that your use of InspectPro complies with all laws and regulations applicable to your industry, including any statutory requirements for inspection records and reporting
- Third-party notifications: Obtaining any necessary consents from individuals whose data (including GPS location and photographs) may be captured during inspections conducted on behalf of your clients
- Device management: Ensuring that mobile devices used to access the Service are appropriately secured and managed
Important: InspectPro is a software tool. It does not certify, validate, or guarantee the accuracy, completeness, or regulatory compliance of any inspection carried out using the platform. Compliance with applicable statutory inspection requirements remains the sole responsibility of the Organisation and its qualified personnel.
7 Data Ownership & Content
7.1 Your Data
All inspection data, templates, client records, photographs, reports, and other content uploaded or created within your Organisation's account ("Your Data") remains your property and the property of your Organisation. Whiz Cloud does not claim any ownership rights over Your Data.
7.2 Licence to Process Your Data
By using the Service, you grant Whiz Cloud a limited, non-exclusive licence to host, store, process, and transmit Your Data solely for the purpose of providing the Service to you. We will not use Your Data for any other purpose without your explicit consent.
7.3 Data Export
You may export your inspection data and reports at any time during the term of your account using the export features available within the platform. We will provide reasonable assistance upon request.
7.4 Data on Termination
Upon termination of your account, we will retain your data for 1 year from the date of termination, after which it will be securely and permanently deleted. You may request deletion before this period by contacting us at info@whiz-cloud.com.
7.5 Tenant Isolation
Your Organisation's data is stored in a logically isolated tenant environment. We implement technical and organisational measures to ensure that your data is not accessible to or mixed with the data of any other Organisation.
8 AI-Assisted Features
InspectPro includes an optional AI image analysis feature powered by the Google Gemini API. By using this feature, you acknowledge and agree that:
- AI analysis is user-initiated only — it is never applied automatically without explicit action by a user
- AI-generated suggestions (defect type, severity, description) are advisory only and are not a substitute for the professional judgement of a qualified inspector
- All AI suggestions must be reviewed, accepted, edited, or rejected by the user before they are incorporated into an inspection record
- Whiz Cloud makes no warranty as to the accuracy, completeness, or fitness for regulatory purpose of any AI-generated output
- By activating AI analysis, you consent to the relevant inspection image being transmitted to Google's Gemini API for processing, subject to Google's terms and our Privacy Policy
- You are solely responsible for ensuring that the use of AI-assisted analysis complies with any regulatory or professional standards applicable to your inspection domain
9 Offline Functionality
The InspectPro mobile application is designed to support offline inspection completion. When operating in offline mode:
- Inspection data is stored locally on the consultant's device in an encrypted local database
- Data is synchronised with the server when a network connection is restored
- The synchronisation process includes conflict detection where the same record has been modified by multiple parties
Whiz Cloud is not responsible for data loss arising from:
- Device failure, damage, or loss prior to successful synchronisation
- Deliberate deletion of the application or its local data by the user
- Failure to synchronise caused by prolonged absence of network connectivity
- OS-level restrictions on background sync or storage
Organisations are responsible for ensuring that consultants synchronise their devices in a timely manner and that devices are adequately maintained and backed up.
10 Intellectual Property
10.1 Whiz Cloud's Intellectual Property
InspectPro, including its software, source code, Dynamic Form Template Engine, user interface, design, features, functionality, documentation, and all associated intellectual property rights, is and remains the exclusive property of Whiz Cloud Pvt Ltd.
Nothing in these Terms transfers any intellectual property rights in InspectPro to you. The licence granted in Section 4 is a limited right to use, not a transfer of ownership.
10.2 Feedback
If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant Whiz Cloud a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including improving the Service, without any obligation to compensate you.
10.3 Trademarks
"InspectPro" and "Whiz Cloud" are trademarks or service marks of Whiz Cloud Pvt Ltd. You may not use our trademarks without our prior written consent.
11 Confidentiality
Each party agrees to treat as confidential all non-public information received from the other party in connection with the Service ("Confidential Information"), and not to disclose such information to any third party without the other party's prior written consent, except:
- As required by applicable law, regulation, or court order
- To employees, contractors, or service providers who need to know the information to provide the Service, subject to appropriate confidentiality obligations
- Information that is or becomes publicly available through no fault of the receiving party
Whiz Cloud's confidentiality obligations with respect to Your Data are also governed by our Privacy Policy.
12 Service Availability & Modifications
12.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, or factors beyond our control. We will endeavour to provide reasonable advance notice of scheduled downtime where possible.
12.2 Modifications
Whiz Cloud reserves the right to modify, update, or discontinue any feature or aspect of the Service at any time. Where a modification materially reduces the functionality you rely on, we will provide reasonable notice.
12.3 Updates
The mobile application may require periodic updates through the Apple App Store or Google Play Store. You are responsible for keeping the app up to date. We are not liable for any issues arising from the use of an outdated version of the application.
13 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, Whiz Cloud expressly disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Service will be uninterrupted, timely, secure, or error-free
- Any warranty regarding the accuracy, reliability, or completeness of inspection data, AI-generated suggestions, or generated reports
- Any warranty that the Service satisfies the requirements of any specific regulatory body or statutory inspection regime
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.
14 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
Whiz Cloud shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services — arising out of or in connection with your use of the Service, even if Whiz Cloud has been advised of the possibility of such damages.
In no event shall Whiz Cloud's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total fees paid by your Organisation to Whiz Cloud in the 12 months preceding the event giving rise to the claim, or (b) INR 10,000 (Indian Rupees Ten Thousand).
Nothing in these Terms limits Whiz Cloud's liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded under applicable law.
15 Indemnification
You agree to indemnify, defend, and hold harmless Whiz Cloud Pvt Ltd and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your violation of these Terms
- Your use of the Service in a manner not authorised by these Terms
- Your Organisation's inspection activities, including any regulatory non-compliance
- Any content uploaded or submitted by your Organisation's users that infringes any third-party rights
- Any claim by a third party relating to data captured during an inspection (including photographs, GPS, or personal data of third parties)
16 Termination
16.1 Termination by You
Your Organisation may terminate its account by providing written notice to Whiz Cloud at info@whiz-cloud.com, subject to the terms of any separate subscription or service agreement in place.
16.2 Termination by Whiz Cloud
Whiz Cloud may suspend or terminate your Organisation's access to the Service:
- Immediately and without notice if you materially breach these Terms, including any violation of Section 5 (Acceptable Use)
- With reasonable notice for any other reason, including cessation of the Service
16.3 Effect of Termination
On termination:
- All user access under your Organisation's account will be immediately revoked
- Your data will be retained for 1 year and then permanently deleted, per Section 7.4
- Any licence granted to you under these Terms will immediately cease
- Sections that by their nature should survive termination (including Sections 10, 11, 13, 14, 15, and 17) will continue to apply
17 Governing Law & Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The Information Technology Act, 2000 and its associated rules apply to the extent relevant.
For users in the European Union or United Kingdom, nothing in these Terms affects any mandatory consumer or data protection rights available under applicable EU or UK law.
For users in the United States, these Terms do not limit any rights you may have under applicable state or federal law.
17.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of 30 days following written notice of the dispute.
If the dispute is not resolved through negotiation, either party may refer the matter to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in New Delhi, India in the English language. The arbitral award shall be final and binding on both parties.
Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
17.3 Jurisdiction
Subject to the arbitration clause above, the courts of New Delhi, India shall have exclusive jurisdiction over any disputes not subject to arbitration.
18 App Store & Play Store Terms
The InspectPro mobile application is distributed through the Apple App Store and Google Play Store. Additional terms apply:
18.1 Apple App Store
If you downloaded the app from the Apple App Store, you acknowledge and agree that:
- These Terms are between you and Whiz Cloud Pvt Ltd only — not Apple Inc.
- Apple has no obligation to provide maintenance or support services for the app
- In the event of any failure of the app to conform to applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims by you or a third party relating to the app
- You represent that you are not located in a country subject to a US government embargo or designated as a "terrorist supporting" country, and are not listed on any US government prohibited parties list
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you
18.2 Google Play Store
If you downloaded the app from Google Play, the Google Play Terms of Service apply in addition to these Terms. In case of conflict between these Terms and the Google Play Terms of Service, these Terms shall govern to the extent permitted.
18.3 No Endorsement
Apple Inc. and Google LLC are not sponsors of, affiliated with, or endorsing InspectPro or Whiz Cloud Pvt Ltd in any way.
19 Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify your Organisation's account administrators by email at least 14 days before the changes take effect
- Display a notice within the platform
Your Organisation's continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms. If you do not agree with the revised Terms, you must stop using the Service and notify us of your intention to terminate your account.
